Italian Competition Authority
opened an investigation on 25 September 2018 into three markets: wholesale sunglasses, glass sunglass lenses and glass lens blanks; found the deal liable to create or strengthen a dominant position in glass lenses and glass blanks, not in sunglasses overall; authorised it on conditions on 19 November 2018
Primary record
1
In English: the authority held the deal liable to create and strengthen a dominant position, and said that with Barberini Luxottica would become the only maker of high-quality glass plano lenses.
-
Luxottica
buyer. The authority put its share of wholesale sunglasses by value in 2017 in the 60 to 65% range in Italy and the 40 to 45% range in Europe (it published ranges, not exact figures); Luxottica argued for the wider market including plastic lenses, and the authority said that would not change its analysis
Primary record
1
In English: the figures are the authority’s estimates from the parties’ data and Euromonitor; the wholesale-sunglasses market it examined covers glass and plastic lenses.
-
Barberini
company bought. In sunglasses it held well under 1%, so the authority called the overlap marginal; in glass lens blanks its German unit held over 50% of production, and Luxottica was the biggest buyer
Primary record
1
In English: the authority said Barberini sold its own-brand sunglasses only since 2016 with a share far below 1%, and that Barberini GmbH held over half of glass-blank production.

VISTA la propria delibera del 25 settembre 2018, come modificata con provvedimento di rettifica n. 27357 del 28 settembre 2018, con cui è stata avviata un’istruttoria, ai sensi dell’articolo 16, comma 4, della legge n. 287/90, nei confronti di Luxottica Group S.p.A. e Barberini S.p.A.;
VISTA la comunicazione da parte di Luxottica Group S.p.A. pervenuta il 27 luglio 2018 e integrata il 2 agosto 2018, relativa all’acquisizione di Barberini S.p.A.;
